- Customer: the natural or legal person acting in the course of a profession or business who enters into an agreement with Supplier.
- Service: the TB-cast online platform, consisting of the web portal, the player software and related APIs, which the Customer uses to manage and play content on screens.
- Player: a device (such as a Raspberry Pi, computer, smart TV or Android device) linked to the Customer's account through the player software.
- Content: all images, videos, text, presentations and other data the Customer stores or plays through the Service.
2. Applicability
- These terms apply to every offer from Supplier and every agreement concerning use of the Service.
- The Service is intended for business use only. Consumer law provisions do not apply.
- The Customer's own terms and conditions do not apply unless Supplier has accepted them in writing.
3. Free trial
- A new Customer may use the Service free of charge for 30 days with the number of Players stated on the website. No payment details are required.
- One trial is available per business. Supplier may refuse or end a trial in case of abuse.
- When the trial ends, the account is suspended unless the Customer takes out a paid subscription.
4. Subscription, prices and payment
- The subscription is charged per Player, monthly or yearly, at the prices shown on the website when the subscription is taken out. For larger numbers of Players, the volume discount stated on the website applies to all Players.
- All prices exclude VAT. For business customers in another EU member state with a valid VAT number, VAT is reverse-charged.
- Payment is made in advance using the payment methods offered (such as iDEAL, SEPA Direct Debit, credit card and Bancontact), processed by a payment service provider.
- The Customer may change the number of Players at any time. The difference is settled pro rata for the remaining period.
- Supplier may adjust prices once a year. A price change is announced at least 30 days in advance and applies from the next period. The Customer may cancel with effect from that date.
5. Late payment and suspension
- If a payment is not received, the Customer receives a reminder. After 7 days, Supplier may suspend the Service; Players will then stop showing new Content.
- Once payment is received, the Service is resumed as soon as possible.
- If an account has been suspended for more than 90 days, Supplier may delete the Content and account data. The Customer is notified in advance.
6. Term and cancellation
- A monthly subscription runs month by month and can be cancelled at any time with effect from the end of the current month.
- A yearly subscription runs per year. Supplier sends a notice at least 30 days before renewal. The Customer may cancel until the end of the current period.
- Cancellation is possible in the portal under Billing or by email to info@tb-service.nl.
- After termination, the Customer can download their Content for 30 days. After that it is deleted.
7. Use of the Service
- The Customer is responsible for the Content and warrants that it does not infringe third-party rights or violate laws or regulations.
- The Service may not be used for unlawful, misleading or offensive Content, or for actions that disrupt the Service.
- Supplier may remove Content or restrict access if there is a reasonable suspicion of a breach of this article, and will inform the Customer.
- The Customer keeps login details confidential and is responsible for actions performed with their account.
8. Availability and maintenance
- Supplier makes reasonable efforts to keep the Service available without interruption but does not guarantee uninterrupted availability.
- Planned maintenance is carried out outside office hours where possible and announced in advance.
- During an outage of the Service or the internet, Players keep playing the most recently synchronised Content.
9. Intellectual property
- All rights to the Service, the software and documentation belong to Supplier or its licensors. The Customer receives a non-exclusive, non-transferable right of use for the duration of the agreement.
- The Customer retains all rights to their own Content and only permits Supplier to store, process and play it as needed to provide the Service.
10. Liability
- Supplier's liability is limited to compensation for direct damage, up to the amount paid by the Customer in the 12 months preceding the event causing the damage.
- Supplier is not liable for indirect damage, including consequential loss, lost profits and loss of data.
- These limitations do not apply in case of intent or deliberate recklessness on the part of Supplier.
11. Privacy
When providing the Service, Supplier processes personal data on behalf of the Customer. The data processing agreement applies. How we process personal data as a controller is described in our privacy statement.
12. Changes
Supplier may amend these terms. Changes are announced at least 30 days before they take effect. If the Customer does not agree to a material change, they may cancel the agreement with effect from that date.
13. Governing law
These terms and all agreements are governed by Dutch law. Disputes are submitted to the competent court in the district where Supplier is established. In case of discrepancies, the Dutch version of these terms prevails.
